Lucro CRM Reseller Partner Agreement
This Reseller Partner Agreement (“Agreement”) is entered into between:
Lucro Software Solutions Ltd, registered company number 13877120 and whose registered office is New Media House, Davidson Road, Lichfield, England, WS14 9DZ, United Kingdom (“Lucro”, “Lucro CRM”, “Company”, “we”, “us”), and
The Partner (“Partner”, “you”).
Together referred to as the “Parties”.
1. Purpose of the Agreement
The Company appoints the Partner on a non-exclusive basis to introduce prospective customers to Lucro CRM in return for a recurring commission on qualifying subscriptions.
This Agreement governs the referral relationship, commission structure, and termination rights.
2. Nature of the Relationship
2.1 The Partner acts as an independent contractor.
2.2 Nothing in this Agreement creates an employment relationship, partnership, agency, or joint venture.
2.3 The Partner has no authority to bind the Company, make representations, or enter into agreements on behalf of Lucro CRM.
3. Referral Model & Qualification
3.1 The Partner may introduce prospective customers (“Referred Customers”) using a unique referral link or other approved tracking method provided by the Company.
3.2 A referral qualifies for commission if:
- The customer is first registered via the Partner’s referral method; and
- The customer converts to a paid Lucro CRM subscription.
3.3 The Company retains sole discretion in determining referral qualification.
4. Commission Structure
4.1 The Partner shall earn a 40% recurring commission for life, on net subscription revenue received from Referred Customers.
4.2 Commission is calculated:
- Per active paid user
- Net of VAT, refunds, chargebacks, credits, and failed payments.
4.3 Commission is calculated monthly and payable in arrears, subject to subscription status and successful payment receipt by the Company.
4.4 Minimum Payout Threshold
Commission payments shall only be issued once the Partner’s accrued commission balance reaches a minimum of £25 GBP. Any balance below this threshold shall roll over until the minimum amount is met.
5. Clawbacks & Commission Adjustments
5.1 If any subscription revenue on which commission has been paid is later refunded, reversed, charged back, or deemed invalid (including due to fraud or payment failure), Lucro reserves the right to recover the corresponding commission amount.
5.2 Recovery may be effected by:
(a) deducting the amount from future commission payments; or
(b) where the Partner has already been paid and the Partner Agreement has been terminated, invoicing the Partner for the relevant clawback amount.
5.3 Clawbacks will apply only where the underlying subscription revenue is not ultimately received by Lucro.
5.4 Lucro will not apply clawbacks for normal subscription churn occurring after successful billing.
6. Commission Review & Amendments
6.1 The Company reserves the right to review and amend commission rates at any time.
6.2 Any changes will be communicated with reasonable notice and shall not affect commissions accrued prior to the effective date of change.
7. Partner Obligations
The Partner agrees to:
- Represent Lucro CRM accurately and professionally
- Not make false, misleading, or unauthorised claims
- Not misrepresent pricing, features, or contractual terms
- Comply with all applicable laws and regulations
The Partner shall not:
- Offer discounts, incentives, or contractual variations without written consent
- Represent themselves as Lucro CRM staff or agents
- Provide implementation, technical support, or service guarantees on behalf of Lucro CRM without the express written consent from Lucro CRM.
8. Customer Relationship & Ownership
8.1 All Referred Customers are customers of Lucro CRM.
8.2 The Company retains ownership of:
- Customer data
- Billing relationships
- Product delivery and support
8.3 The Partner has no ownership rights to Referred Customers or their data.
9. Inactivity Clause
9.1 If the Partner introduces no new active users during any continuous 60-day period, the Company may, at its discretion, issue 30 days’ written notice to terminate this Agreement.
9.2 Termination under this clause is without penalty.
10. Term & Termination
10.1 This Agreement commences on the date the Partner is approved and continues until terminated.
10.2 Either Party may terminate this Agreement for any reason by providing 30 days’ written notice.
10.3 The Company may terminate this Agreement immediately in cases of:
- Fraud
- Misrepresentation
- Breach of this Agreement
- Conduct that materially harms the Company’s reputation or business
- Poor quality of customer referrals
- High levels of churn or clawbacks
10.4 Effect of Termination
Upon termination or expiry of this Agreement:
a) The Partner shall no longer be entitled to earn commissions on or after the termination effective date;
b) Any unpaid commissions accrued prior to termination shall be paid in accordance with this Agreement, subject to the £25 minimum payout threshold;
c) No further commissions shall accrue in respect of Referred Customers after termination, unless expressly agreed in writing by the Company.
11. Confidentiality
Both Parties agree to keep confidential all non-public commercial, technical, financial, or customer information disclosed during the relationship.
This obligation survives termination.
12. Limitation of Liability
12.1 Lucro CRM is provided “as is”.
12.2 The Company shall not be liable for indirect, incidental, or consequential damages.
12.3 The Company’s total liability under this Agreement shall not exceed the total commission paid to the Partner in the preceding three (3) months.
13. Amendments
The Company may update this Agreement from time to time.
Continued participation in the Lucro CRM Partner Programme constitutes acceptance of the updated terms.
14. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
15. Entire Agreement
This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, representations, or understandings.
Acceptance
By joining the Lucro CRM Partner Programme or receiving a referral link, the Partner confirms acceptance of this Agreement.
